Real Estate & Transactional

Our attorneys have extensive experience in a wide range of commercial real estate and financing transactions throughout the country – ranging from office buildings to shopping centers; from apartment complexes, to hotels; from telecom/colocation facilities in Pennsylvania, New York, Missouri, Texas and Illinois, to popular restaurants, golf courses, and some of the most well-known and historic real estate projects in Pennsylvania. We regularly handle complex commercial transactions involving all facets of real estate projects (structuring, joint ventures, acquisitions/sales, financing, leasing), mergers and acquisitions, construction and development, commercial lending (from loan origination to workouts/commercial foreclosure), business restructuring/corporate divorce, and other business transactions of all shapes and sizes. The experienced attorneys of our Real Estate & Transactional practice group are strong but practical advocates, effective negotiators, and skilled drafters who provide superior attention to the small, but oftentimes important, details. We routinely represent buyers, sellers, landlords, tenants, lenders, borrowers and developers in all aspects of sophisticated and complex transactions – oftentimes with some of the largest law firms in the country on the other side of the table.

We provide our clients with a full complement of real estate services, including transaction structuring, tax planning, acquisitions and dispositions, joint ventures, real estate finance, leasing, construction and development, capital raises and ongoing asset management. Structuring and handling successful deals requires a blend of industry knowledge, creativity, practicality and experience. Our attorneys have the knowledge and expertise to take the lead and quarterback complex, high-end transactions from start to finish, but also the flexibility to handle discreet portions of a transaction as local counsel in Pennsylvania, New Jersey, and Missouri. Our local counsel work includes the handling of local due diligence and transaction requirements, title and survey review, loan document enforceability review, issuance of legal opinion letters and the handling of other related matters. We regularly handle a wide range of projects, including office buildings, multi-family properties, hotels, shopping centers, mixed-use developments, warehouses, industrial properties, telecom buildings (data centers/colocation facilities), and more. Clients return to us not only for our knowledge of particular real estate sectors and markets, but also because we know and understand their businesses, individual needs and goals.
Our attorneys handle a wide range of commercial leasing and licensing matters. We represent landlords, tenants, subtenants, licensors and licensees in all aspects of leasing and licensing, including structuring, negotiations, drafting, build-out and occupancy. Our experience includes commercial lease, sublease and license transactions for office buildings, single and multi-tenant buildings, retail, restaurants, shopping centers, mixed-use buildings, and warehouses, amongst others. Over the past few years, we have developed a specific niche in the drafting and negotiation of license agreements and service orders in the telecom/colocation arena.
Commercial lenders and borrowers alike require sound legal counsel that incorporates the creativity, skill and depth of experience necessary to accomplish their respective financing and business goals. Our Real Estate & Transactional practice group routinely represents both borrowers and lenders in the handling of commercial finance transactions of all shapes and sizes, including real estate and construction financing, acquisition financing, asset-based lending, tax credit financing through state and Federal tax credit programs and grants, including New Market Tax Credit financing, and other forms of debt and equity financing. Our clients include commercial banks, private investors and other specialty lenders, corporate and non-corporate borrowers in a variety of industries. Whether you are a lender or a borrower, our experience on the opposite side of the table handling the procedures and documentation unique to a wide range of financing transactions will benefit you. While frequently serving as lead counsel for borrowers and lenders, we have the flexibility to handle discreet portions of financing transactions as local counsel in Pennsylvania, New Jersey, and Missouri, including the handling of local due diligence and transaction requirements, loan document enforceability review, issuance of legal opinion letters and other related matters. Our skilled attorneys can guide you through the complexities of the commercial lending process, identify the challenges and apply practical solutions to ensure that your specific needs are addressed and your goals are met.
Our Real Estate and Transactional practice group has in-depth knowledge of commercial construction practices, routinely representing owners, developers, lenders, contractors, subcontractors and other design professionals throughout the construction and development process. We take great pride in our drafting and negotiation of construction contracts and other development agreements which recognize the issues at hand and appropriately allocate the risks, liabilities and incentives involved in any development project. Our attorneys have considerable experience working with, but are not beholden to, various forms of development contracts, specifically including the contracts of the American Institute of Architects (AIA). Our team includes skilled drafters with the ability to look past the cookie-cutter, one-size-fits-all forms, and develop appropriate contract documents which specifically address the needs, goals and best interests of the client. Should issues arise, our experienced attorneys are actively involved in all aspects of the analysis, prosecution or defense of mechanic's liens and other construction and development claims.
We provide our clients with a full complement of services to assist in any equity/capital raise in compliance with applicable securities and “blue sky” laws and regulations, including the handling of all structuring matters, preparation of private placement memoranda (the PPM), subscription documents, organizational and equity documents, securities exemption filings and associated materials. We help our clients navigate through this ever-changing area of law, including new opportunities resulting from recent changes to securities’ laws and regulations with respect to exempted sales of securities over the internet and crowd funding.
Our attorneys have decades of experience negotiating deals for the acquisition and sale of companies of all types and sizes through asset and stock acquisitions, mergers, consolidations, buyouts, restructurings and other transaction structures. We will partner with you throughout the acquisition/sale process, from structuring to closing, and everything in between. Our experienced attorneys regularly develop sophisticated structures and innovative solutions to the challenges which inevitably arise in complex transactions. We can provide you with the insightful counsel necessary to ensure that your interests are fully protected and that the transaction meets your business objectives.
There are numerous reasons why a business may need to be restructured or otherwise endure a corporate divorce. Whether resulting from a shareholder or partner dispute, the need for additional capital or a planned business succession, we are experienced in working with business owners to address the special needs of separating partners and ongoing business concerns in connection with shareholder buyouts, redemptions, recapitalizations, spinoffs and other business restructuring.
Sometimes, commercial loans require restructuring or enforcement of remedies. Our attorneys are experienced in the handling of all aspects of the negotiation and preparation of workout documents and, when required, the prosecution or defense of commercial foreclosure matters and related litigation.
